Terms of Use

1. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding agreement to use the Services. If you use the Services for an organisation, you represent that you have authority to bind it.

Some features are available without an account. Cloud sync, billing, and sharing features may require you to sign in. You must provide accurate account information, keep your sign-in credentials secure, and promptly notify us of suspected unauthorised use.

2. Licence to use the Services

Subject to these Terms, Traciq grants you a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the Services for lawful purposes. We and our licensors retain all rights in the Services, including software, designs, branding, and documentation, except for your content and third-party open-source components.

3. Your content

You retain ownership of maps, text, drawings, images, files, and other content you submit or create (“User Content”). You grant Traciq a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, display, and modify User Content only as reasonably necessary to operate, secure, support, and improve the Services.

You represent that you have the rights needed to use and share your User Content and that it does not violate law or another person’s rights. You are responsible for your backups and for deciding what to include in a map or share through a link.

4. Acceptable use

You must not use the Services to:

• Create, upload, or share unlawful, harmful, fraudulent, defamatory, infringing, or abusive content.
• Transmit malware, attempt unauthorised access, bypass security controls, or interfere with the Services or other users.
• Send spam, conduct deceptive activity, or impersonate another person or organisation.
• Probe, scan, overload, scrape, or use automated means against the Services except through interfaces we expressly provide.
• Reverse engineer or copy proprietary parts of the Services except where applicable law or an open-source licence expressly permits it.
• Use the Services in a way that violates privacy, intellectual-property, export-control, sanctions, or other applicable laws.

We may restrict or suspend access when reasonably necessary to address a violation, security risk, legal requirement, or material threat to the Services.

5. Local storage, cloud sync, and share links

Local-only maps are stored in your browser and may be lost if you clear browser data, change devices, or lose access to the device. Cloud-sync features store User Content on hosted infrastructure associated with your account.

A person with an active share link may be able to view or edit the linked map, depending on the permission selected by the map owner. Treat share links as confidential when the map is not intended to be public, and disable or delete access when it is no longer needed.

6. Subscriptions and billing

Paid plans are billed in Australian dollars through Stripe at the price and interval shown at checkout. Subscriptions renew automatically until cancelled. You authorise Stripe and Traciq to charge the selected payment method for recurring fees, taxes, and any clearly disclosed charges.

You may manage or cancel a subscription through the Stripe billing portal. Cancellation takes effect at the end of the current paid period unless stated otherwise. Except where law requires, fees are non-refundable. We may change pricing prospectively after reasonable notice.

7. Third-party services and open-source software

The Services may interoperate with Google, Stripe, Cloudflare, and other third-party services. Their terms and privacy practices govern their services, and we are not responsible for their independent acts. Mind Weave is built on Excalidraw. Third-party and open-source components remain subject to their applicable licences.

8. Feedback

If you provide suggestions or feedback, you grant Traciq a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation. This does not transfer ownership of your User Content.

9. Service changes and availability

We may add, change, suspend, or discontinue features. We do not promise that the Services will always be available, uninterrupted, secure, or error-free. Where practical, we will give reasonable notice of a material discontinuation affecting paid users.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available”. Traciq and its suppliers disclaim all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Nothing in these Terms excludes a guarantee or right that cannot lawfully be excluded.

11. Limitation of liability

To the maximum extent permitted by law, Traciq and its officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity. Traciq’s aggregate liability relating to the Services will not exceed the amount you paid for the Services during the 12 months before the event giving rise to the claim, or USD $100 if you used only free Services.

12. Indemnity and termination

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Traciq and its officers, employees, contractors, and licensors from claims, losses, and reasonable costs arising from your User Content, misuse of the Services, or violation of these Terms or another person’s rights.

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create legal or security risk, fail to pay applicable fees, or if required by law. Provisions that by their nature should survive termination will do so, including ownership, disclaimers, liability limits, and indemnity.

13. General

These Terms and any incorporated policies are the entire agreement concerning the Services. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will stay effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganisation or transfer of the Services.

These Terms are governed by the laws of the jurisdiction in which Traciq Innovation LLC is registered, without regard to conflict-of-law rules. Mandatory consumer protections in your place of residence continue to apply. We may update these Terms by posting a revised version and, where required, giving additional notice. Continued use after the effective date means you accept the revised Terms.
